Incumbent Republican George H. Prouty, per the "Mountain Rule",[1] did not run for re-election to a second term as Governor of Vermont.

Republican candidate John A. Mead defeated Democratic candidate Charles D. Watson to succeed him.

Marshall J. Hapgood, who ran a quixotic campaign for the Republican gubernatorial nomination, filed Vermont's first-ever campaign finance report, which indicated that he spent $103.76 (equivalent to $3,393 in 2023).
